Terms of Service

1. Introduction

Welcome to STEMfra. These Terms of Service form a legal agreement between you and STEMFRA LLC, a limited liability company formed in the State of Delaware, United States (Delaware File Number 10538503) ("STEMfra," "we," "us," or "our"). We provide a done-for-you website service for local businesses across our supported industries, including barbershops, beauty salons, CrossFit boxes, yoga & pilates studios, massage studios, and day spas. We design, build, host, and maintain each customer's website on their behalf at no upfront cost: no setup fee, no monthly fee, and no contract. In return, we earn a flat 5% commission on the sales you make through your Stemfra site, as described in our Fees & Payments Policy. By accessing or using our website and services, you agree to be bound by these Terms of Service.

2. Use of the Website

You agree to use our website and services in a lawful manner and in accordance with these Terms. You must not:

  • Use the website in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with the proper functioning of the website
  • Transmit any harmful or malicious code
  • Collect or harvest information about other users without consent
  • Impersonate STEMfra or any other person or entity

We reserve the right to terminate or suspend access to our services for any violation of these terms.

3. Intellectual Property

All content, technologies, trademarks, logos, and intellectual property displayed on this website are the property of STEMfra LLC or its affiliated products and services.

You may not use, reproduce, modify, distribute, or create derivative works from any content on this website without our express written permission. This includes software, designs, text, graphics, logos, and other materials.

The STEMfra name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of STEMfra or its affiliates. You must not use such marks without our prior written permission.

4. Our Services

STEMfra provides a done-for-you website service for local businesses. Each engagement includes:

  • Website Design and Build: A custom website designed and built specifically for your business in one of our supported industries
  • Hosting and SSL: Secure hosting on STEMfra's infrastructure with automatic SSL renewal
  • Built-in Booking: A native booking widget for visitors to request an appointment or class. Book now, pay at the business; STEMfra does not process customer payments
  • CMS Access: A simple admin interface so you can update your services, team, hours, and content
  • Ongoing Maintenance and Support: Updates, security patches, uptime monitoring, and reasonable content support while your site is active
  • AI Front Desk and Assistant: An AI chat assistant on your site that answers visitor questions from your own content, captures enquiries, and can book free services, plus an AI assistant in your dashboard that helps you write and manage content. See "AI Assistants" below
  • Notifications: Email and, where you enable it, SMS notifications to you and to your customers (booking confirmations, reminders, and account alerts)
  • Payments: Booking is "book now, pay at the business" by default. Where card payments are offered through a supported processor and you enable them, that processor's terms and fees apply in addition to these Terms

You can create your site yourself in minutes and preview it for free. Publishing is free as well; our only fee is the commission described in Section 5. We may also offer setup help by video call at no charge.

4a. Your Account

You must be at least 18 years old and use STEMfra on behalf of a business you own or are authorized to represent. You are responsible for keeping your login details confidential and for all activity under your account. Tell us at once at [email protected] if you believe your account has been compromised. We may suspend or close accounts that provide false information, are used for a business we do not support, or breach these Terms.

4b. Your Content and Your Customers' Data

Your content. You own the text, images, prices, and other material you add to your site, and you grant STEMfra a licence to host, display, back up, and adapt it as needed to operate the service. You confirm that you have the rights to everything you publish, that it is accurate, and that it does not infringe anyone's rights or break any law. We may remove content that breaches these Terms.

Your customers' data. Bookings, enquiries, chat conversations, and customer records created through your site are your business's data. You decide how it is used and you are the data controller for it; STEMfra processes it on your behalf to run your site, booking, notifications, and dashboard, as described in our Privacy Policy. You are responsible for your own privacy notices to your customers, for the SMS and email consent of the customers you message, and for keeping your legal pages current. Each site ships with a Privacy Policy, Terms and Booking Policy, and Cookies Policy that you can edit in your dashboard.

Leaving. If you close your account, you may request an export of your services, team, customers, and bookings, and the transfer of any domain we registered for you (Section 6). We may delete your site data after a reasonable period following closure, subject to our legal retention obligations.

4c. AI Assistants

The AI Front Desk on your site and the AI assistant in your dashboard generate answers and drafts automatically from your own content and data. AI can make mistakes. Answers given to your visitors are provided on your behalf, so you should keep your services, prices, hours, and policies accurate, review drafts before you publish them, and turn the Front Desk off in your settings if you do not want it on your site. STEMfra is not responsible for decisions you or your customers make in reliance on AI-generated content, and AI features may change or be withdrawn.

5. Fees, Billing & Payments

Commission: There is no setup fee and no monthly fee. STEMfra earns a flat 5% commission on the sales you make through your Stemfra site, including online bookings, at-visit sales you mark as collected, memberships, and product orders. Tips and taxes are excluded. The commission applies whether the customer is new or an existing client of yours. Full details are set out in our Fees & Payments Policy, incorporated here by reference.

Recording your sales: You are responsible for keeping the sales made through your Stemfra site accurate, including marking at-visit sales as collected in your dashboard. So that records stay honest and complete, a booking for a paid service that you have not marked collected, and have not marked as cancelled or a no-show, within 24 hours of its scheduled time is automatically recorded as collected and counts toward your commission. Bookings you mark as cancelled or as a no-show are never counted. You can adjust any booking at any time.

Billing Cycle: We total your commission once a month based on the sales recorded through your Stemfra site, and send you a single monthly invoice showing the amount due.

How you pay: You pay each invoice by bank transfer to the account shown on it, quoting the payment reference printed on the invoice. Transfers that carry the reference are matched and confirmed automatically; if yours has not been confirmed, use "I have paid" in your dashboard and we will check, and we may ask for a receipt only if a payment cannot be matched. Automatic billing (a card or ACH mandate on file) will be offered later.

Processing fees: The 5% commission is the STEMfra platform fee. When card payments are enabled on your account, the payment processor charges a separate processing fee, shown as its own line. We never blend the processing fee into our commission.

Cancellation: You may stop using the service at any time through your account settings or by emailing [email protected]. Commission accrued on sales made before you stop remains payable.

Fee Changes: We will provide at least 30 days notice of any change to our fees via email, and the change will apply to sales made after it takes effect. Continued use after the change constitutes acceptance.

Refunds: Refunds and adjustments are governed by our Refund Policy, incorporated here by reference and available on our website. If you refund a customer for a sale, the commission on that sale reverses.

6. Custom Domains

Registration as your agent. When you purchase a domain name through your STEMfra dashboard, STEMfra registers it on your behalf, acting solely as your registration agent through our accredited registrar partner. You are the beneficial owner of the domain. For your privacy and so that we can manage DNS, SSL, and renewals for you, the registrar account and the public WHOIS record (where privacy protection applies) identify STEMfra as the managing agent. This is administrative only; it does not give STEMfra ownership of, or any interest in, your domain.

Your responsibility. You are solely responsible for your choice of domain name and for how it is used. This includes ensuring the name does not infringe trademarks or other rights of third parties, the lawfulness of the content and services made available on it, and compliance with the registry's policies and ICANN's registration terms, which apply to every domain registration. Any dispute concerning the domain, including trademark claims and UDRP or similar proceedings, is between you and the complaining party. You agree to indemnify and hold STEMfra harmless from claims, losses, and costs arising from the registration or use of a domain we registered at your request, and you acknowledge that STEMfra may comply with registrar, registry, court, or dispute-resolution decisions concerning the domain without liability to you.

Fees and renewal. The first-year price is shown before you purchase, together with the yearly renewal price. Domains are invoiced like any other STEMfra charge. Domains renew yearly; if a renewal invoice remains unpaid, or you tell us not to renew, the domain is allowed to expire at the end of its paid term and may become publicly available for anyone to register.

Transfers. The domain is yours. You may request a transfer to your own registrar account at any time, and if you stop using STEMfra we will assist in transferring it to you, subject to the registry's transfer rules (including the standard 60-day lock after registration) and settlement of any outstanding invoices for that domain.

7. SMS & Text Message Notifications

Program description. STEMfra operates an SMS notification program for its registered business customers and their staff ("STEMfra Account Alerts"). If you provide a mobile number and opt in, we may send you text messages such as: one-time verification codes (OTP) when you or your customers verify a phone number at signup, alerts when a new lead or booking arrives on your account, missed-call follow-ups, and account, support, and service notifications.

Consent. You opt in by adding your mobile number and enabling SMS alerts in your STEMfra account settings, or by providing your number at signup for verification. Consent to receive text messages is not a condition of any purchase. We do not share or sell your mobile number or opt-in data with third parties or affiliates for their own marketing purposes.

Message frequency. Message frequency varies and depends on your account activity (for example, how many leads and bookings your account receives).

Message and data rates. Message and data rates may apply, according to your mobile carrier's plan. STEMfra does not charge you for these messages.

Opt-out. You can cancel the SMS program at any time by replying STOP to any message, or by disabling SMS alerts in your account settings. After you reply STOP, we will send one confirmation message and then stop sending further texts. To rejoin, reply START or re-enable alerts in your settings.

Help. For help, reply HELP to any message or email [email protected].

Carriers and mobile providers are not liable for delayed or undelivered messages. Your use of the SMS program is also subject to our Privacy Policy.

8. Disclaimer of Warranties

Our website, services, and software products are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. Your use of our services is at your sole risk.

9. Limitation of Liability

To the fullest extent permitted by law, STEMfra and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the website or services.

This includes, but is not limited to, damages for loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of (or inability to access or use) the website
  • Any information or content obtained from the website
  • Unauthorized access to or alteration of your data or communications
  • Any other matter relating to the website or services

The information provided on this website is for general informational purposes and should not be relied upon as financial, legal, or investment advice.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation within 30 days. If unresolved, it shall be submitted to binding arbitration under the American Arbitration Association (AAA) rules, conducted in Dover, Delaware or remotely where applicable.

11. Changes to Terms

STEMfra reserves the right to modify or update these Terms of Service at any time at our sole discretion. We will notify users of material changes by updating the "Last updated" date at the top of this page.

Your continued use of the website and services after any changes to these Terms constitutes your acceptance of the new terms. We encourage you to review these Terms periodically to stay informed about our policies.

If you do not agree to the modified terms, you should discontinue your use of the website and services.
